Risk Factors

The SEC requires risk factors to be disclosed in a Registration Statement, Item 503 of Regulation S-K. The company needs to provide specific details about the risk and speculation involved in its offerings to investors. Discuss each risk factor in one or two paragraphs in plain English and how it applies to the company. Do not put any mitigating language in this section. For example, avoid words such as while, although, or however. Such language may downplay risks and cannot be presented to potential investors. The SEC specifically provides the following guidelines:

• Concisely identify each risk under a factor subheading
• Limit each subheading to one risk
• Do not provide generic risk information unhelpful to an investor
• Describe the extent of each risk plainly. In other words, it’s unhelpful to provide false optimism

To simplify the process, separate risk categories into the following subheadings:

Financial risks
Risks relating to products and services
Risk factors relating to operations outside the United States
Management risks
Company stock risks
