Market for Common Equity and Related Stockholder Matters
Since at the time of filing a company will not be publically trading stock, disclose to the SEC there is no United States public trading market for the stock, and indicate any stock subject to outstanding options or warrants to purchase or securities convertible into common stock. Also, disclose the amount of securities that can be sold without registration under SEC Rule 144; indicate the effect on market price for company common stock, and set forth the approximate number of holders for each class of common equity of the registrant as of the latest predicable date, and detail the company’s policy on dividend payments including information about payments in the last two years. If the company intends to pay future cash dividends, or if no intention exists to pay cash dividends, state in the filing, and detail executive stock issuance compensation plans. |
