Management’s Discussion and Analysis of Financial Condition and Results of Operations

Item 303 of Regulation S-K requires the Management’s Discussion and Analysis of Financial Condition and Results of Operations (MD&A). This section is required for two reasons. First, an MD&A provides an analysis of each line item in an income statement and provides an explanation for the variations between different periods. The MD&A addresses known trends, demands, commitments, events, or uncertainties that will have, or likely to have, a material impact on the company’s financial condition, operating performance, revenues, income, or an increase or decrease in liquidity. A company must also discuss the variability of earnings and cash flows, and it must also discuss its financial position and what it expects for the future. Second, a company must describe in the MD&A an analysis of its current financial position detailing all debt and other obligations and potential sources of capital or other financial liquidity.

The MD&A is divided into the following sections:

Introduction or Overview
Results of Operations
Milestones/Plan of Operations
Liquidity and Financial Resources
