Certain Relationships and Related Transactions

Disclose to the SEC any transactions since the beginning of the last fiscal year, including any proposed pending transactions exceeding $120,000 in which any related person had or will have direct or indirect interest.
A related person is:

• Any director or executive officer
• Any immediate family member of a director or executive officer, meaning any child or step child, parent or stepparent, spouse, siblings, any mother, father, son, daughter, brother, or sister-in-laws, executive officer or nominee for director, and any person (other than a tenant or employee) sharing the household of said director, officer or nominee for director
• Any person listed in the Security Ownership Table who is not an officer or director and any other immediate family member or other person listed in the above mentioned bullet

A company will disclose the following information to the SEC:

• Name and relation of related person
• Related person’s interest in transaction and his or her position in firm or other entity having interest in the transaction
• Approximate dollar value of the transaction
• Approximate dollar value of related person’s interest in the transaction, regardless of profit or loss
